01 / The firm

Who we are.

What is Trident Ridge Capital?

Trident Ridge Capital is an independent sponsor based in Austin, Texas. We work with founders, families, management teams, and capital partners to acquire and build established lower middle market businesses.

Is Trident Ridge Capital a private equity fund?

No. We evaluate opportunities and arrange capital on a deal-by-deal basis alongside our capital partners. Our approach emphasizes long-term stewardship, with the investment structure and ownership plan determined for each transaction.

Who leads the firm?

The firm is led by Managing Partners John Golden, Nicolas Biancamano, and Emilio Fernandez. Their backgrounds span military leadership, alternative asset management, and operating and commercial leadership. Meet our team.

02 / Investment fit

The businesses we seek.

What types of businesses do you consider?

We focus on Texas-based, founder-owned, family-owned, and closely held businesses with approximately $500K–$3M in annual EBITDA. We typically look for 10 or more years of operating history, durable cash flow, and strong customer relationships. See our investment criteria.

Which industries do you focus on?

Our six focus sectors are insurance brokerage; IT managed services; fire & life safety; home care & home health; specialty chemicals distribution; and utility & energy management. Explore the sector briefs.

Do you acquire a minority interest or the whole business?

Our focus is majority to 100% ownership. The appropriate structure, including any potential continuing ownership by the seller, is discussed as part of each opportunity.

Does the business need to be in Austin?

No. We focus on Texas businesses, including the Austin–San Antonio corridor and other major Texas markets. We consider the location alongside the business model, operating footprint, and overall fit.

03 / The sale process

What to expect.

How quickly could I receive an offer?

For businesses that fit our criteria, we aim to provide an initial offer within 10 business days of receiving the information needed for our review. This is a target, not a guarantee. Timing and terms depend on the business and the information available.

How long does it take to close?

A closing timetable depends on due diligence, financing, definitive agreements, and other closing conditions. We discuss a realistic schedule with you once we understand the business and the proposed transaction.

Do sellers pay a commission?

Trident Ridge Capital is a direct buyer and does not charge the seller a commission. Fees payable to your own broker, attorney, accountant, or other advisers are governed by your separate agreements with them.

How do you handle confidentiality?

We can put an NDA in place before reviewing sensitive information and coordinate how the opportunity is discussed. Information may need to be shared with capital partners and professional advisers, subject to the applicable confidentiality arrangements.

What would we talk about over coffee or Teams?

We would like to hear how you built the business, what you are proud of, and what you would want to protect through a transition. We can talk about your team, customers, your role today, and what you would like the next few years to look like. It is also a chance for you to ask us how we work and decide whether you would want another conversation.

Do I need to prepare financial statements before we meet?

No. For an introductory coffee or Teams call, a short introduction is enough. There is no need to prepare a presentation or send sensitive financial information with your first email. If we both want to explore a transaction, we can discuss an NDA and the information needed for a more detailed review.

Can we meet if I am not ready to sell?

Yes. You may be thinking about succession several years ahead, weighing your options, or simply wondering who could be a good future owner. We are happy to get to know you before there is a transaction to discuss.

04 / People & transition

The next chapter.

What happens to employees after an acquisition?

We aim to build on the people, customer relationships, and culture that make a business valuable. Staffing and leadership needs are assessed during diligence, and we discuss the intended transition plan before closing. We cannot guarantee that every role will remain unchanged.

Can I stay involved after a sale?

Potential arrangements may include a defined handover period, an operating role, or an advisory relationship. We discuss your preferences early; any ongoing role and its terms would need to be agreed as part of the transaction.

How do I begin a conversation?

Email Nic directly and let him know whether you would prefer coffee in Austin or a Microsoft Teams call. A line or two about yourself is plenty to begin. You can also reach John or Emilio directly. Read about exploring a sale.
